These terms and conditions ("Agreement") outline the terms of the partnership between Foodarna AB and Chef for the purpose of facilitating food delivery services. By entering into this Agreement, both parties agree to be bound by the terms and conditions outlined herein.

1. Agency Responsibilities:

1.1 Foodarna will provide an online platform or mobile application  for customers to place food orders from the Chef's menu.

1.2 The Agency will handle all customer service and communication related to the delivery process.

1.3 The Agency will be responsible for the delivery of food orders placed through the Platform.

1.4 The Agency will remit the agreed-upon payment to the Chef for each successful delivery.

2.Chef Responsibilities:

2.1 The Chef will provide a menu of food items available for delivery through the Platform.

2.2 The Chef will maintain the quality and consistency of the food prepared for delivery.

2.3 The Chef will ensure that all food items meet local health and safety regulations.

2.4 The Chef will promptly update the availability of menu items on the Platform and inform the Agency of any changes or updates.

3.Commission and Payment:

3.1 The Agency and Chef will agree upon a commission structure, outlining the percentage or fixed fee that the Agency will retain for each successful delivery.

3.1.1 As of 2023-06-24 Foodarna will give its chef partners a 75 % of commission per order on order value after discount excluding delivery. The commission is subject to change from time to time and any future change has to be agreed and signed between Foodarna and the chef partner.

3.2 The Agency will remit payment to the Chef on monthly basis.

3.3 The Chef will provide the necessary information (e.g., banking details) to facilitate timely payments from the Agency.

4.Food Quality and Safety:

4.1 The Chef will adhere to all local health and safety regulations in the preparation, handling, and packaging of food items for delivery.

4.2 The Chef will promptly address any customer complaints or concerns related to food quality, allergies, or safety.

4.3 The Agency reserves the right to suspend or terminate the partnership if the Chef fails to meet food quality and safety standards consistently.

5. Intellectual Property:

5.1 The Chef grants the Agency a limited, non-exclusive, royalty-free license to use the Chef's name, logo, and menu for the sole purpose of promoting and facilitating food delivery services.

5.2 The Chef warrants that they have the necessary rights and permissions for any intellectual property provided to the Agency.

6.Confidentiality:

6.1 Both parties agree to keep any proprietary or confidential information obtained during the course of the partnership confidential.

6.2 This confidentiality obligation shall survive the termination or expiration of this Agreement.

7.Termination:

7.1 Either party may terminate this Agreement with a written notice to the other party.

7.2 In the event of termination, the Agency will cease to offer the Chef's menu items on the Platform, and the Chef will no longer be obliged to provide food for delivery.

8.Governing Law and Jurisdiction:

8.1 This Agreement shall be governed by and construed in accordance with the laws of Sweden.

8.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Sweden.

By agreeing to these terms and conditions, both the Agency and Chef acknowledge that they have read, understood, and agreed to be bound by the terms of this Agreement.
